These Terms and Conditions ofUse ("Terms") govern access to and use of the websitesemprendecoop.com, fidecoop.coop, and cooperativas.pr, as well as any microsite,form, portal, platform, directory, training, event, application, program, or relatedservice operated by Fondo de Inversión y Desarrollo Cooperativo, Inc.("FIDECOOP"), including its affiliated programs, among themEmprendeCoop and ExpoCoop.

By accessing, browsing, using,or submitting information through the Sites, you agree to these Terms. If youdo not agree, you should not use the Sites.

1. OPERATOR OF THE SITES

The Sites are owned and operatedby:

2. PURPOSE OF THE SITES

The Sites serve informational,educational, institutional, administrative, promotional, and operationalpurposes related to cooperative development, technical assistance, incubation,acceleration, financing, training, cooperative directories, and other FIDECOOPprograms or initiatives.

The information published on theSites does not constitute legal, financial, tax, accounting, investment, orbusiness advice. Nor does it constitute a binding offer, a promise offinancing, or a guarantee of admission, grant, credit, mentorship, technicalassistance, or participation in any program.

3. ELIGIBILITY AND AUTHORITY

The Sites are intended forindividuals with the legal capacity to act on their own behalf and for legallyconstituted entities. Accessing or using the Sites, or submitting informationon one's own behalf or on behalf of a third party, constitutes a representationthat the user has the legal capacity and the necessary authorizations to takesuch actions.

By using the Sites or submittinginformation, you represent, warrant, and certify that:

(a) you possess the legalcapacity necessary to carry out the corresponding transactions, or you have thedue authorization of whoever may legally represent you;

(b) you have sufficientauthority to act on behalf of the person, cooperative, organization, or entityyou represent;

(c) all information,certifications, documents, and data submitted are true, correct, complete,current, and not misleading or materially inaccurate;

(d) you will not submit false,misleading, incomplete, altered, or fraudulent information, or documentationwhose authenticity you cannot reasonably support;

(e) you hold the authorizations,consents, permits, and rights necessary to provide any document, information,or data submitted through the Sites; and

(f) you will comply with thelegal, regulatory, and programmatic requirements applicable to thecorresponding application, proposal, benefit, or service.

Breach of these representationsmay result in denial of applications, suspension or termination ofparticipation in programs, cancellation of agreements, recovery of funds, andany other administrative, civil, or criminal action available under applicablelaw.

4. PROGRAMS, APPLICATIONS, AND EVALUATIONS

FIDECOOP may administer,directly or indirectly, incubation, acceleration, mentorship, training,technical assistance, cooperative development, grant, financing, creditfacility, directory, event, and other service programs.

The submission of forms,proposals, business plans, applications, documents, certifications, orsupporting information does not guarantee:

(a) admission;

(b) selection;

(c) financing;

(d) credit;

(e) a grant;

(f) disbursement;

(g) participation;

(h) continuity in a program;

(i) any specific economic,commercial, financial, or operational outcome.

FIDECOOP may accept, reject,suspend, discontinue, modify, or condition any application, service, or programin accordance with its criteria, availability of funds, applicablerequirements, documentary compliance, programmatic priorities, and legal or contractualobligations.

5. RESPONSIBILITY FOR SUBMITTED INFORMATION

Each user is responsible for theaccuracy, completeness, legality, and currency of the information submitted.

FIDECOOP may request additionalinformation, clarifications, supporting documents, or certifications wheneverit deems necessary.

Failure to cooperate, submissionof incomplete information, or omission of material information may result insuspension, denial, or termination of an application, service, or programparticipation.

6. VERIFICATION, MONITORING, AND AUDIT

FIDECOOP reserves the right toverify, corroborate, validate, analyze, and evaluate information,certifications, representations, documents, and data submitted by users,cooperatives, applicants, beneficiaries, participants, contractors,subrecipients, or any other person or entity that uses the Sites orparticipates in programs administered by FIDECOOP.

For such purposes, FIDECOOP mayconsult, collect, cross-reference, or validate information through supportingdocuments, public records, databases, reasonably available sources, references,financial institutions, service providers, contractors, auditors, consultants,government agencies, funding entities, and any other legitimate source relevantto the administration, oversight, compliance, or protection of the programs andfunds administered.

Users acknowledge and agree thatsubmitted information may be subject to review, monitoring, verification,audit, oversight, investigation, inspection, or evaluation by FIDECOOP, itsauthorized representatives, funding entities, the Puerto Rico Department ofHousing (PRDOH), the U.S. Department of Housing and Urban Development (HUD),other federal or state agencies, independent auditors, oversight bodies, orcompetent authorities, as applicable.

FIDECOOP may request additionalinformation, documents, clarifications, certifications, or evidence at any timeto validate the eligibility, accuracy, completeness, compliance, or proper useof funds, benefits, or services requested or granted. Refusal to cooperate,failure to respond, or the inability to corroborate the information providedmay result in denial of applications, suspension or termination of benefits,cancellation of agreements, recovery of disbursed funds, or any other actionauthorized under applicable law.

Users must retain and makeavailable to FIDECOOP or authorized entities the documents and records relatingto their participation in the programs for the term required by applicable law,regulation, grant agreements, or programmatic requirements.

7. PROGRAMS FUNDED WITH PUBLIC FUNDS

Certain programs, services,benefits, solicitations, or activities administered by FIDECOOP may be fundedin whole or in part with federal, state, municipal, or private funds,including, among others, funds from the Puerto Rico Department of Housing (PRDOH),the U.S. Department of Housing and Urban Development (HUD), CommunityDevelopment Block Grant – Disaster Recovery (CDBG-DR) programs, or other publicor private funding sources.

Where applicable, the useracknowledges and agrees that information, documents, certifications, and datasubmitted through the Sites may be used, analyzed, shared, and retained forlegitimate purposes related to the administration and compliance of such programs,including, without limitation, to:

•  determineeligibility and award of benefits;

•  documentcompliance with programmatic, contractual, and regulatory requirements;

•  verify submittedinformation and certifications;

•  justifydisbursements, assistance, or benefits granted;

•  administer grantsand public funds;

•  monitorperformance and programmatic compliance;

•  prepare reports,metrics, statistics, and reports required by funding entities;

•  respond tomonitoring, audits, reviews, investigations, or oversight;

•  prevent, detect,and investigate fraud, abuse, waste, or misuse of public funds; and

•  comply with legal,regulatory, contractual, grant, recordkeeping, filing, andinformation-disclosure obligations.

The user likewise acknowledgesthat submitted information may be shared, where necessary or permitted by law,with government agencies, funding entities, auditors, consultants, contractors,subrecipients, oversight bodies, competent authorities, or other authorizedthird parties involved in the administration, supervision, monitoring, audit,or compliance of the corresponding programs.

Participation in publicly fundedprograms may be subject to additional documentation, verification,recordkeeping, monitoring, and audit requirements established by applicablelaws, regulations, grant agreements, programmatic guidance, or requirements imposedby the applicable funding entities.

8. FALSE STATEMENTS, FRAUD, AND RECOVERY OF FUNDS

The submission of false,misleading, incomplete, altered, fraudulent, or materially inaccurateinformation, certifications, statements, or documents, as well as the omissionof information relevant to determining eligibility, compliance, orparticipation in any program or service, may result in one or more of thefollowing actions:

(a) denial of applications;

(b) disqualification fromcompetitive processes or programs;

(c) suspension or termination ofparticipation in programs or initiatives;

(d) cancellation of benefits,assistance, awards, or agreements;

(e) recovery, recoupment, orreimbursement of disbursed funds, benefits, or resources;

(f) imposition of correctivemeasures or additional compliance requirements;

(g) administrative referrals;

(h) civil referrals;

(i) criminal referrals; and

(j) any other remedy or actionpermitted under applicable law, regulation, grant agreements, or programmaticrequirements.

Users acknowledge that FIDECOOPmay refer relevant information to funding entities, government agencies,oversight bodies, auditors, or competent authorities where necessary toprevent, detect, investigate, or prosecute possible acts of fraud, false statements,misuse of public funds, or legal or programmatic noncompliance.

Where applicable, the provisionsof applicable federal and state law relating to fraud, false claims, falsestatements, embezzlement, or misuse of public funds may apply, including,without limitation, 18 U.S.C. § 287, 18 U.S.C. § 1001, 31 U.S.C. §§ 3729–3733(False Claims Act), as well as any other applicable legal or regulatoryprovision.

9. PRIVACY

Use of the Sites is also subjectto FIDECOOP's Privacy Policy, which explains how user information is collected,used, shared, retained, and protected.

In the event of a conflictbetween these Terms and the Privacy Policy regarding the handling of personalinformation, the Privacy Policy shall govern as to such handling, unless theseTerms establish additional obligations permitted by law.

10. ELECTRONIC COMMUNICATIONS AND ELECTRONIC SIGNATURES

By using the Sites, submittingforms, or participating in programs, you agree to receive electroniccommunications relating to applications, programs, events, notices,requirements, updates, documents, and administrative matters.

Where permitted by law,electronic records, consents, certifications, and signatures shall have thesame validity as paper documents or signatures, in accordance with applicablefederal law and the law of Puerto Rico.

11. FIDECOOP'S INTELLECTUAL PROPERTY

All content created, developed,published, licensed, or made available by FIDECOOP through the Sites,including, without limitation, text, designs, interfaces, visual elements,graphics, educational material, documents, photographs, images, illustrations,audio, video, software, code, databases, compilations, forms, templates,reports, studies, publications, trademarks, trade names, logos, slogans, andother materials or content, is protected by applicable intellectual propertylaws, including those relating to copyright, trademarks, trade secrets, andother proprietary rights.

Unless FIDECOOP expresslyauthorizes otherwise in writing, no user acquires any right, title, license, orinterest in such content merely by accessing or using the Sites. The contentmay be used solely for legitimate purposes related to authorized use of theSites and in accordance with these Terms.

Without FIDECOOP's prior writtenauthorization, it is prohibited to copy, reproduce, download, store,distribute, publish, transmit, display, disclose, sell, sublicense,commercially exploit, modify, adapt, translate, decompile, reverse engineer,create derivative works from, or otherwise use the protected content ormaterials available on the Sites, except to the extent expressly permitted byapplicable law.

FIDECOOP reserves all rights notexpressly granted in the content, materials, trademarks, logos, and otherprotected elements available through the Sites. Unauthorized use of suchmaterials may give rise to applicable administrative, civil, or legal actionunder applicable law.

12. USER-SUBMITTED CONTENT

By submitting information,documents, data, images, logos, proposals, business plans, materials,certifications, or other content through the Sites, you represent, warrant, andcertify that you own, control, or have obtained all rights, licenses, authorizations,consents, and permits necessary to submit such content and to authorize theuses contemplated in these Terms.

You further represent that thecontent submitted does not infringe or violate intellectual property rights,privacy rights, publicity rights, confidentiality obligations, contractualrestrictions, or other third-party rights.

You grant FIDECOOP anon-exclusive, worldwide, royalty-free, transferable, and sublicensablelicense, solely to the extent reasonably necessary, to receive, store,reproduce, review, process, evaluate, administer, verify, document, archive,audit, monitor, report, disclose when required by law or programmaticrequirements, and use such content in connection with the Sites, the programs,the services, the grants, and the evaluation, compliance, monitoring,oversight, and other activities related to the administration of thecorresponding programs.

Such license shall remain ineffect for as long as necessary for the administration of the applicableprogram, compliance with legal, regulatory, contractual, or grant requirements,audits, recordkeeping, claims handling, or any other legitimate obligationrelated to the Sites or the services provided by FIDECOOP.

Nothing in these Terms shall beconstrued as an assignment, transfer, or conveyance to FIDECOOP of ownership ofintellectual property rights in proposals, business plans, trademarks, logos,materials, documents, or content belonging to the user or to third parties,unless the parties expressly agree otherwise in writing.

The user shall be responsiblefor any third-party claim, controversy, or allegation relating to the rights,authorizations, or permits necessary for the content submitted, and shallindemnify and hold FIDECOOP harmless from claims arising from breaches of therepresentations and warranties set forth in this section.

13. PROPOSALS, IDEAS, AND BUSINESS PLANS

The submission to FIDECOOP ofideas, concepts, proposals, business plans, business models, projects,materials, studies, strategic information, or any other content related toprograms, services, or initiatives does not, by itself, create a fiduciary relationship,partnership, joint venture, agency, or representation, nor any additionalcontractual confidentiality obligation, unless a written agreement executed byauthorized representatives of FIDECOOP expressly provides otherwise.

The submission of a proposal orproject likewise does not guarantee favorable evaluation, approval, financing,engagement, award, or participation in programs administered by FIDECOOP, whichwill be subject to the applicable eligibility criteria, requirements,availability of funds, programmatic priorities, and evaluation processes.

FIDECOOP recognizes thatdifferent cooperatives, organizations, community groups, and applicants mayindependently develop projects, initiatives, products, services, or businessmodels intended to address similar or shared needs within their communities oreconomic sectors. Accordingly, the existence of similarities or common elementsamong projects submitted by different applicants shall not, by itself, beconstrued as evidence of misappropriation, unauthorized use of information, orinfringement of intellectual property rights.

The user further acknowledgesthat FIDECOOP may receive, evaluate, administer, or support multiple proposalsrelating to similar sectors, activities, populations, needs, or strategies,without this implying preference, exclusivity, or recognition of rights overgeneral concepts, business ideas, methodologies, or approaches not protectedunder applicable law.

Nothing in this section shall beconstrued as a waiver of the intellectual property rights legitimatelybelonging to proposers, nor shall it affect any confidentiality obligationsFIDECOOP has expressly assumed through a written agreement. FIDECOOP will respectintellectual property rights validly recognized under applicable law and willseek to administer evaluation and award processes fairly, transparently, and inaccordance with the criteria established for each program.

14. EXPOCOOP, DIRECTORIES, AND THIRD-PARTY CONTENT

As part of its mission topromote the development, visibility, inter-cooperation, and strengthening ofthe cooperative movement, FIDECOOP may include on the Sites directories,cooperative profiles, virtual exhibits, spaces related to EXPOCOOP, institutionalinformation, service descriptions, collaboration opportunities, contactinformation, links, logos, photographs, informational materials, and othercontent relating to cooperatives, partner organizations, participants,exhibitors, collaborating entities, or third parties.

The information included in suchdirectories, profiles, or spaces may be provided by the cooperativesthemselves, participating organizations, collaborators, affiliated entities,public sources, or third parties. FIDECOOP will endeavor to keep such informationreasonably organized and accessible; however, it does not warrant that allpublished information is accurate, complete, current, available, or error-freeat all times.

The inclusion of a cooperative,organization, service, product, link, or content on the Sites does notconstitute a recommendation, certification, warranty, endorsement, favorableevaluation, or approval by FIDECOOP, unless expressly stated otherwise.

Users must exercise their ownjudgment and perform any verifications they deem appropriate before relying oninformation contained in directories, profiles, or third-party materials, andbefore establishing commercial, contractual, or collaborative relationshipswith any entity identified through the Sites.

FIDECOOP may update, correct,supplement, suspend, or remove information from directories, profiles, orinformational spaces whenever it considers it appropriate for the properadministration of the Sites, compliance with programmatic requirements, or theprotection of the interests of participating cooperatives, users, and thecooperative movement generally.

Nothing in this section limitsFIDECOOP's commitment to promoting collaboration, cooperative education,information sharing, and the strengthening of support networks amongcooperatives and organizations related to the cooperative ecosystem.

15. THIRD-PARTY TRADEMARKS, LOGOS, AND RIGHTS

All trademarks, trade names,logos, emblems, designs, distinctive signs, images, and other third-partymaterials belong to their respective owners.

Unless expressly statedotherwise, their inclusion on the Sites is for informational, educational,descriptive, promotional, or identification purposes and does not implyaffiliation, sponsorship, endorsement, approval, representation, or commercialrelationship with FIDECOOP.

16. PHOTOGRAPHS, EVENTS, AND AUDIOVISUAL MATERIAL

FIDECOOP may documentactivities, events, trainings, mentorships, meetings, fairs, conferences,graduations, and other institutional initiatives through photographs, audiorecordings, videos, electronic transmissions, or other reasonable means ofdocumentation.

Participation in certainactivities may be subject to authorizations, consents, releases, or additionalforms related to the use of image, voice, name, testimonial, or audiovisualmaterial, where necessary or appropriate under applicable law, programmaticrequirements, or the nature of the activity.

The handling of photographs,videos, recordings, and other audiovisual material collected by FIDECOOP shallfurther be governed by the provisions of the applicable Privacy Policy.

17. THIRD-PARTY LINKS

The Sites may contain links topages, platforms, resources, programs, or services operated by cooperatives,collaborating organizations, government entities, funding entities, or otherthird parties. The inclusion of such links is intended to facilitate access toinformation, resources, and opportunities that may be of interest to users andto the strengthening of the cooperative ecosystem.

However, FIDECOOP does notcontrol or administer the content, security, availability, accuracy, privacypractices, terms of use, or conduct of such third parties. The inclusion of alink does not constitute a certification, warranty, recommendation, endorsement,or approval of the content, products, or services offered by such entities.Users should review the applicable policies and terms of external sites beforeusing them or providing personal information.

18. TECHNOLOGY PLATFORMS AND THIRD-PARTY SERVICES

In order to operate the Sites,administer programs, provide services, offer training, manage applications,facilitate communications, store information, and support its institutionaloperations, FIDECOOP may use third-party platforms, applications, services, andtechnology providers, including, without limitation, Webflow, Microsoft,Microsoft 365, SharePoint, Microsoft Forms, Google, Google Forms, Google Drive,Zoom, TalentLMS, email service providers, web hosting services, cloud computingservices, analytics tools, educational platforms, data backup services,document management systems, authentication services, information securityservices, and other similar technologies.

FIDECOOP seeks to selectproviders that offer security, reliability, and data protection measuresreasonably appropriate to the services they provide. Nevertheless, certaincomponents of the technological infrastructure, storage, processing, datatransmission, security measures, availability, operational continuity, andfunctioning of such services are administered directly by third parties and arenot under FIDECOOP's exclusive control.

19. INTERNATIONAL DATA TRANSFERS

The user acknowledges and agreesthat information submitted, stored, processed, or generated through the Sites,programs, or related platforms may be transmitted, processed, hosted, backedup, replicated, or accessed by technology providers located within or outsidePuerto Rico, the United States, or other jurisdictions where such providersmaintain technological infrastructure, data centers, backup services, orauthorized personnel.

Such transfers may be carriedout for purposes related to the provision of services, data hosting, backup andrecovery of information, electronic communications, form administration,virtual education, videoconferencing, document management, user support,information security, operational continuity, monitoring, audit, regulatorycompliance, and administration of programs or grants.

By using the Sites or providinginformation to FIDECOOP, the user acknowledges and consents to such datastorage, transmission, and processing activities, subject to this PrivacyPolicy, the applicable agreements with technology providers, and applicablelaw.

20. LIMITATION OF LIABILITY FOR THIRD-PARTY PROVIDERS AND BREACHES

FIDECOOP adopts reasonableadministrative, technical, and organizational measures intended to protect theinformation under its control and to select technology providers appropriate tosupport its operations and services.

However, no technologicalinfrastructure, computer system, digital platform, communications network, orelectronic transmission mechanism can guarantee absolute security oruninterrupted availability. Accordingly, and to the maximum extent permitted byapplicable law, FIDECOOP shall not be liable for acts or omissions attributableexclusively to external technology providers, or for interruptions, delays,errors, technical failures, service unavailability, loss of connectivity, datacorruption, unauthorized access, cybersecurity incidents, cyberattacks,infrastructure failures, force majeure events, or any other situation beyondFIDECOOP's reasonable control.

The foregoing does not mean thatFIDECOOP waives the adoption of reasonable information-protection measures, nordoes it limit the obligations that applicable law expressly imposes on anon-waivable basis.

21. AVAILABILITY OF THE SITES

FIDECOOP seeks to keep theSites, platforms, forms, and digital services reasonably available andoperational for the benefit of cooperatives, participants, and other users.However, FIDECOOP does not warrant that the Sites will be availablecontinuously, uninterruptedly, in a timely manner, securely, error-free,virus-free, free of vulnerabilities, or compatible with all devices, systems,or technological configurations.

The Sites may experiencetemporary interruptions, access limitations, performance degradation, delays,errors, or periods of unavailability due to maintenance, updates, technologicalimprovements, security incidents, infrastructure failures, connectivity issues,acts of third parties, force majeure events, or any other circumstance withinor outside FIDECOOP's reasonable control.

FIDECOOP reserves the right tomodify, update, suspend, restrict, replace, or discontinue, temporarily orpermanently, any content, feature, form, program, service, digital tool, orpart of the Sites, at any time and as required by its operational, programmatic,regulatory, technological, or security needs, with or without prior notice.

The availability of certainprograms, forms, solicitations, resources, or services may be subject tofunding requirements, budgetary availability, regulatory authorizations,programmatic changes, or institutional determinations by FIDECOOP or fundingentities.

22. DISCLAIMER OF WARRANTIES

The Sites, content, directories,forms, digital services, educational materials, informational resources, andother elements available through the Sites are provided "as is" and"as available."

To the maximum extent permittedby applicable law, FIDECOOP does not offer or assume any express or impliedwarranties, representations, or guarantees regarding the accuracy,completeness, timeliness, availability, reliability, usefulness, merchantability,fitness for a particular purpose, operational continuity, technologicalcompatibility, non-infringement, security, or error-free operation of theSites, content, or services available.

Likewise, FIDECOOP does notwarrant that the Sites will meet users' particular expectations, or that accessto them will be free of interruptions, delays, loss of information,vulnerabilities, unauthorized access, or unforeseen technological events. Usersare responsible for using appropriate mechanisms to protect their systems,devices, credentials, and information, and for maintaining backup copies of anydocumentation they consider important.

Nothing in this section shalllimit those rights, warranties, or obligations that cannot be excluded orlimited under applicable law.

23. COOPERATIVE DISPUTE RESOLUTION

FIDECOOP promotes the resolutionof disputes in a collaborative, fair, transparent, and efficient manner,consistent with cooperative principles and values, including mutual aid, sharedresponsibility, democracy, equity, solidarity, participation, good faith, andthe pursuit of reasonable solutions that favor the continuity of institutionaland cooperative relationships where possible.

Before initiating judicialproceedings relating to the use of the Sites, programs, or servicesadministered by FIDECOOP, the parties will make reasonable efforts to resolvethe situation through dialogue, communication, and cooperativeconflict-management mechanisms.

(a) Notice and Good-Faith Dialogue

The party that believes adispute exists must give written notice, reasonably describing the relevantfacts, the situation raised, and the remedy or solution requested.

Upon receipt of such notice, theparties will endeavor to engage in good-faith dialogue within a reasonableperiod, for the purpose of clarifying the facts, exchanging relevantinformation, and identifying mutually acceptable solutions.

(b) Voluntary Mediation

If the dispute cannot beresolved through direct communication, the parties may agree to submit it to avoluntary mediation process before a neutral mediator or any mediationmechanism recognized under applicable law.

The parties acknowledge thatmediation is a tool compatible with the cooperative principles ofparticipation, dialogue, education, and self-management, and will thereforeconsider it in good faith before resorting to more adversarial mechanisms.

(c) Other Dispute Resolution Mechanisms

Where appropriate and permittedby law, the parties may agree to use arbitration, conciliation, or otheralternative dispute resolution mechanisms recognized under applicable law.

Except as expressly agreedotherwise or as specifically provided by law, nothing in this section shallrequire any person or entity to waive the remedies, recourses, or proceduresrecognized by applicable law.

(d) Preservation of Legal and Regulatory Rights

Nothing in this section shallprevent FIDECOOP or any user from:

(i) seeking injunctive,provisional, or interim relief before a competent forum;

(ii) filing claims, complaints,reviews, administrative appeals, or requests for investigation beforegovernment agencies, regulatory bodies, or entities with jurisdiction;

(iii) exercising rights,remedies, or protections recognized under federal or Puerto Rico law;

(iv) complying with orparticipating in administrative, regulatory, audit, compliance, supervisory, oroversight proceedings relating to cooperatives, public funds, grants, fundingentities, or government agencies.

(e) Interpretation Consistent with Cooperative Law

This section shall beinterpreted consistently with the General Cooperative Corporations Act ofPuerto Rico, the Puerto Rico Cooperative Savings and Credit Societies Act,applicable COSSEC regulations, the cooperative principles internationallyrecognized by the International Cooperative Alliance, applicable grantagreements, and any other pertinent legal provision.

Nothing herein shall beconstrued as a waiver of rights, remedies, administrative reviews, regulatoryprotections, or guarantees that cannot be limited or waived under applicablelaw.

24. GENERAL LIMITATION OF LIABILITY

To the maximum extent permittedby applicable law, FIDECOOP, its officers, directors, employees, contractors,consultants, volunteers, affiliated entities, associated programs,collaborators, service providers, and representatives shall not be liable forindirect, incidental, special, consequential, exemplary, or punitive damages,or for loss of revenue, profits, opportunities, data, anticipated savings,business relationships, reputation, goodwill, or any other similar loss arisingout of or relating to:

(a) access to, use of, orinability to use the Sites;

(b) participation,non-participation, or disqualification from programs, solicitations, trainings,events, or services;

(c) the denial, suspension,cancellation, or termination of applications, benefits, or assistance;

(d) errors, interruptions,delays, unavailability, loss of information, or technological failures;

(e) users' reliance oninformation, materials, directories, profiles, links, or content published onthe Sites;

(f) acts or omissions of thirdparties, including cooperatives, participating organizations, funding entities,technology providers, contractors, consultants, or collaborators; or

(g) any decision made by a userbased in whole or in part on information obtained through the Sites.

FIDECOOP does not guaranteeapproval of applications, the granting of financing, the award of incentives,selection for specific programs, or the achievement of particular outcomes byusers, cooperatives, or participating entities.

Nothing in this section shalllimit liability that cannot be excluded or restricted under applicable law.

25. INDEMNIFICATION

The user agrees to defend,indemnify, and hold harmless FIDECOOP, its officers, directors, employees,contractors, consultants, affiliated programs, collaborators, andrepresentatives from and against any claim, action, proceeding, damage, loss,liability, fine, penalty, cost, or reasonable expense, including reasonableattorneys' fees, arising out of or relating to:

(a) breach of these Terms ofUse, applicable policies, or programmatic requirements;

(b) misuse of the Sites,platforms, or services administered by FIDECOOP;

(c) the submission of false,misleading, inaccurate, incomplete, or fraudulent information, certifications,documents, or statements;

(d) the violation of third-partyrights, including intellectual property, privacy, confidentiality, or publicityrights;

(e) the unauthorized use,reproduction, or submission of trademarks, logos, photographs, images,documents, materials, or content belonging to third parties;

(f) the user's breach ofapplicable legal, regulatory, contractual, or programmatic obligations;

(g) negligent, fraudulent,willful, or unlawful acts or omissions of the user; or

(h) any third-party claimresulting from content, information, or documentation submitted by the userthrough the Sites.

However, nothing in this sectionshall be construed as an obligation of the user to indemnify FIDECOOP foractions attributable exclusively to FIDECOOP's gross negligence, willfulmisconduct, or legal noncompliance, where such limitation is recognized underapplicable law.

26. MODIFICATIONS

FIDECOOP may amend these Termsat any time. Amendments shall be effective once published on the Sites, unlessanother effective date is indicated.

Continued use of the Sitesfollowing the publication of changes shall constitute acceptance of the amendedTerms.

27. GOVERNING LAW AND FORUM

These Terms of Use, as well asany controversy, claim, or dispute relating to the Sites, the programs, theservices, or the activities administered by FIDECOOP, shall be governed by andconstrued in accordance with the laws of the Commonwealth of Puerto Rico andapplicable federal laws of the United States, without regard toconflict-of-laws principles that would require the application of the laws ofanother jurisdiction.

The parties acknowledge thatcertain disputes may be subject to specific requirements for administrativereview, mediation, regulatory compliance, government oversight, audit,processes established by funding entities, or alternative dispute resolution mechanismsapplicable under law, regulation, grant agreements, or particular contracts.

Unless an administrative,regulatory, mediation, arbitration, or other validly agreed-upon or legallyrequired dispute resolution mechanism applies, any legal action relating tothese Terms, the Sites, or the services shall be brought before the courts withjurisdiction and venue in Puerto Rico.

Nothing in this section shall beconstrued as a waiver of mandatory administrative proceedings, regulatoryremedies, rights of review, government oversight mechanisms, or protectionsrecognized under cooperative law, consumer protection laws, grant agreements,applicable federal laws, or any other pertinent legal provision.

28. SEVERABILITY

If any provision of these Termsis declared invalid, void, or unenforceable, the remaining provisions shallremain in full force and effect.

29. NO WAIVER

FIDECOOP's failure to requirestrict compliance with any provision shall not constitute a waiver of its rightto require such compliance thereafter.

30. RESERVATION OF RIGHTS

All rights, defenses,immunities, privileges, remedies, and causes of action of FIDECOOP areexpressly reserved.
